1. Who We Are and What This Covers

This website at atelium.co, together with any subdomain, application, platform, community or service we operate through it (the "Site"), is owned and operated by Atelium LLC, a Texas limited liability company with its principal office at 1000 Heritage Center Circle, Suite 108, Round Rock, TX 78664 ("Atelium," "we," "us," "our").

The Site provides information about, and sells enrollment in, professional education programs for practitioners working in women's health and wellness programs for individuals (such as Trimester 0), together with related educational content and resources.

These Terms and Conditions (the "Terms") govern your access to and use of the Site. By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

2. Changes to These Terms

We may update these Terms. Changes take effect when posted, and we will update the "Last updated" date. For material changes affecting purchases already made, the version in effect at the time of your purchase continues to apply to that purchase. Your continued use of the Site means you accept the current Terms.

3. Your Account

Parts of the Site require an account. You agree that the information you provide is accurate and that you will keep it current. You are responsible for keeping your credentials confidential and for everything that happens under your account. Tell us promptly at info@atelium.co if you suspect unauthorized use. Accounts are personal and may not be shared or transferred.

4. Purchases

4.1 Prices and Currency

Prices are in US dollars and exclude any applicable taxes, which are added at checkout where required.

4.2 Payment

Payments are processed by third-party payment processors. We do not receive or store your full card details. Your use of a payment processor is subject to that processor's own terms and privacy policy.

4.3 The Program Agreement Controls

Enrollment in a program is governed by the Enrollment Agreement or, for our programs for individuals, the Wellness Services Agreement you accept for that program (together, the "Enrollment Agreement"). Where these Terms and an Enrollment Agreement differ, the Enrollment Agreement controls for that enrollment — including its cancellation and refund provisions.

4.4 Digital Content

Where you purchase digital content that is not part of a program enrollment, access begins immediately on payment and the purchase is non-refundable unless stated otherwise at the point of sale or required by law.

4.5 Recurring Subscriptions

Where you purchase a subscription, we will tell you clearly before you buy what you will be charged, how often, and how to cancel. Subscriptions renew automatically until you cancel. You may cancel at any time, effective at the end of the current billing period, through your account or by emailing info@atelium.co — and cancelling will never be harder than subscribing was.

4.6 Errors

If a price or description is obviously wrong, we may cancel the order and refund you in full.

5. Nature of Our Content

5.1 Education, Not Care

Everything on the Site is educational and informational. It is general information, not advice about your individual situation.

The Site does not create any professional relationship between you and us. It is not, and must not be relied upon as, medical, nutritional, psychological, legal, tax, financial or other professional advice, and it is not a substitute for consulting an appropriately licensed professional.

5.2 Not Medical Advice

We do not diagnose, treat, cure or prevent any disease or medical condition, and nothing on the Site is intended to. If you have or suspect a medical condition, consult a physician or other licensed healthcare provider. Never disregard or delay professional medical advice because of something you read here. Statements about dietary supplements have not been evaluated by the Food and Drug Administration.

5.3 Not Business or Legal Advice

Our programs include business and marketing education. This is teaching, not advice on your specific business, and it is not legal, tax or accounting advice. Laws governing health and nutrition practice differ by state and country; determining what you may lawfully do is your responsibility, and we recommend you consult a licensed attorney in your jurisdiction.

5.4 Testimonials and Results

We publish testimonials, case studies and examples from real people describing their actual experience.

These results are not typical and are not a promise, prediction or guarantee of what you will achieve. Outcomes depend on individual effort, skill, market, credentials and circumstances, and many people who take a program do not achieve comparable results.

Where a person received any compensation, discount, free or reduced-price access, or other benefit in exchange for their testimonial, we disclose that with the testimonial.

Any figures we publish about our own business describe our own history, not a projection of yours.

5.5 No Guarantee of Outcome

We make no representation that you will earn any particular income, gain clients, or achieve any business result from our content or programs.

6. Acceptable Use

You agree not to: use the Site unlawfully or in breach of these Terms; post content that is defamatory, unlawful, threatening, harassing or obscene; misrepresent your identity; upload malware; attempt to gain unauthorized access to any system or account; scrape, harvest or use automated means to extract content; use the Site or its content to train a machine-learning model; or infringe anyone's rights.

7. Your Submissions

If you submit a comment, review, image or other content to the Site, you grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce and display it in connection with the Site and our business, unless you tell us otherwise when you submit it. You confirm you have the right to grant that licence. We may remove any submission at our discretion.

Do not submit personal health information about yourself or anyone else through the Site.

8. Intellectual Property

All content on the Site — text, graphics, images, video, audio, software, code and the selection and arrangement of it — is owned by us or our licensors and protected by copyright, trademark and other laws.

You may view and print content for your own personal, non-commercial use, keeping all notices intact. You may not otherwise copy, modify, distribute, display, publish, sell, licence or create derivative works from it without our prior written permission.

"Atelium," the Atelium logo and "C.L.E.A.R. Method" are our marks. You may not use them without our written permission.

Participants and graduates of our programs have a separate, broader licence to use certain materials commercially, set out in their Enrollment Agreement — that licence prevails over this Section for those materials.

9. Third-Party Content and Links

The Site may link to sites and resources we do not control. We provide them for convenience, do not endorse them, and are not responsible for their content, accuracy, products or privacy practices. Your use of them is at your own risk and subject to their terms.

Opinions expressed by third parties on the Site are theirs, not ours.

10. Disclaimers and Liability

10.1 Site Provided "As Is"

The Site is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Site will be uninterrupted, timely, secure, accurate or error-free.

10.2 Limitation of Liability

To the fullest extent permitted by law, our total liability arising out of or relating to the Site will not exceed the greater of (a) the amount you paid us in the twelve (12) months before the claim, or (b) USD 100.

We are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, goodwill or data.

10.3 Your Decisions

You are responsible for any decision you make based on information on the Site. We are not liable for the consequences of those decisions.

10.4 What Is Not Excluded

Nothing here excludes liability for fraud, gross negligence, willful misconduct, or anything that cannot lawfully be excluded. Nothing here limits any right you have under the law of your jurisdiction that cannot be waived.

10.5 Indemnity

You will indemnify and hold us harmless from any third-party claim arising out of your use of the Site in breach of these Terms or in violation of law.

11. Copyright Complaints and Accessibility

Copyright. If you believe content on the Site infringes your copyright, contact info@atelium.co with: identification of the work; identification of the material and its location; your contact details; a statement of good-faith belief that the use is unauthorized; a statement that your notice is accurate and that you are authorized to act; and your signature. We respond to valid notices under the Digital Millennium Copyright Act.

Accessibility. We aim to make the Site usable by everyone. If you encounter a barrier, tell us at info@atelium.co and we will work with you to provide the information or service another way.

12. International Users and Privacy

The Site is operated from the United States and is subject to US law. If you access it from elsewhere, you do so on your own initiative and are responsible for compliance with your local law, and you understand your information is transferred to and processed in the United States.

Our handling of your information is governed by our Privacy Policy and, where consumer health data is involved, our Consumer Health Data Privacy Policy, both at atelium.co/legal and incorporated into these Terms. Users in the European Economic Area, the United Kingdom and Switzerland have additional rights described there.

13. Suspension and Termination

We may suspend or terminate your access to the Site or your account at any time if you breach these Terms or if we reasonably believe it necessary to protect the Site or others. Where the circumstances allow, we will give notice first. Termination does not affect a program enrollment except as that Enrollment Agreement provides.

We may modify or discontinue any part of the Site.

14. Disputes

14.1 Contact Us First

Before starting any formal proceeding, send written notice to info@atelium.co describing the issue and what you are seeking. We have thirty (30) days to resolve it. This is a condition precedent to any claim.

14.2 Mediation, Then Arbitration

If unresolved, the Parties will attempt good-faith mediation. Any remaining dispute will be resolved by binding arbitration before a single arbitrator under the Commercial Arbitration Rules of the American Arbitration Association, seated in Williamson County, Texas, or by video conference. Judgment may be entered in any court of competent jurisdiction. Either party may seek injunctive relief from a court, and either party may bring an individual claim in small claims court.

You are agreeing to arbitrate and waiving your right to a jury trial.

14.3 Individual Claims Only

Claims are brought individually. You waive any right to participate in a class, collective, consolidated or representative proceeding. If this waiver is unenforceable as to a claim, that claim proceeds in court in Williamson County, Texas, on an individual basis, and Section 14.2 does not apply to it.

14.4 Governing Law

Texas law governs, without regard to conflict-of-laws rules.

15. General

Entire Agreement. These Terms, with the policies they incorporate and any Enrollment Agreement, are the entire agreement between us.

Severability. If a provision is unenforceable, the rest remains in effect.

No Waiver. Not enforcing a provision is not a waiver of it.

Assignment. You may not assign these Terms. We may, in connection with a merger or sale of substantially all our assets.

Survival. Sections 5, 8, 10, 14 and 15 survive.

Electronic Communications. By using the Site you consent to receive communications from us electronically, and agree that electronic communications satisfy any legal requirement that they be in writing.
